Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the SellerToolKit services, software, website and applications (collectively, the “Service”), operated by Pure Blue Skies Limited (“we”, “our”, “us”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1) Eligibility and accounts

You must be at least the age of majority in your jurisdiction and have authority to bind any entity you represent. You are responsible for your account credentials and all activity under your account and for keeping your information accurate and up to date.

2) License and use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You may not copy, modify, create derivative works of, reverse engineer, decompile or attempt to extract source code from the Service except to the extent such restrictions are prohibited by law.

3) Acceptable use

You agree not to misuse the Service. Prohibited uses include: violating law, third-party rights or platform policies; interfering with security/operation; attempting unauthorised access; uploading malicious code; reselling/sublicensing without consent; or using the Service to build a competing product.

4) Fees, trials and billing

Subscription fees, billing cycles and plan features are described at sign-up or within the Service. Trials may be offered at our discretion.

Unless otherwise stated, subscriptions renew automatically until cancelled. You authorise us and our payment providers to charge all fees to your selected payment method. You are responsible for applicable taxes (including VAT where applicable).

5) Cancellations and refunds

You can cancel at any time via the Service’s account/billing settings; cancellation takes effect at the end of the current billing period unless otherwise stated.

Fees already paid are non-refundable except where required by law or expressly stated by us in writing.

6) Invoices and taxes

Invoices are made available within your account. You are responsible for providing correct tax details and for all taxes associated with your subscription and use of the Service.

7) Customer data and third-party platform data

You retain ownership of your data (“Customer Data”). You grant us a worldwide, limited, non-exclusive license to host, process, transmit and display Customer Data as necessary to provide and improve the Service and comply with law.

Where the Service uses information sourced from third-party platforms (including Amazon, SP-API, reports, and related feeds), those third parties control the timing, structure, availability, and accuracy of the data they provide. The Service may display estimates or interim values where final data is not yet available.

8) Data retention and deletion

Upon cancellation or termination, we may retain Customer Data for up to 21 days for limited backup integrity and potential reactivation, after which it may be deleted or anonymised, subject to legal retention requirements. You are responsible for exporting/backing up your data during your subscription.

9) Service availability and changes

We aim to provide reliable services but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features or the Service (in whole or in part) with reasonable notice where practicable.

If a material change substantially reduces core functionality for your current paid term, your sole remedy is to cancel the subscription; any refund will be determined in our discretion or as required by law.

10) Intellectual property

The Service (excluding Customer Data) is owned by Pure Blue Skies Limited or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.

11) Confidentiality

Each party may access confidential information of the other. The receiving party will protect such information with reasonable care and use it only as needed to perform under these Terms.

12) Compliance

You represent and warrant that your use of the Service complies with all applicable laws, regulations and platform policies (including Amazon marketplace policies, where relevant).

13) Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that it will meet your requirements.

14) Limitation of liability

To the maximum extent permitted by law, Pure Blue Skies Limited will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business interruption.

Our total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the fees paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

15) Indemnity

You will indemnify and hold Pure Blue Skies Limited and its officers, directors, employees and agents harmless from and against claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your breach of these Terms or applicable law.

16) Suspension and termination

We may suspend or terminate your access immediately for material breach, suspected fraud or misuse, non-payment, or to comply with law. Upon termination, your rights to use the Service cease immediately.

17) Governing law and venue

These Terms and any dispute or claim are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, unless mandatory law provides otherwise.

18) Changes to the Terms

We may update these Terms from time to time. Material changes will be effective when posted with an updated “Last updated” date. Continued use of the Service after changes constitutes acceptance.
